Debt Advisory

Structured Finance Partners advises companies, owners, private equity firms and family offices on debt financing strategy and execution. We work across private credit funds, direct lenders and banks, to identify appropriate financing sources, structure alternatives and negotiate terms.

Experience includes acquisition financing, growth capital, senior debt, asset-based lending, junior and subordinated debt, preferred equity, commercial real estate financing, structured finance and securitizations.

M&A Advisory

We advise owners preparing for a sale or other strategic transaction, often beginning well before a formal process. Our role can include sharpening the strategic positioning, developing materials that resonate with intermediaries and buyers, evaluating transaction alternatives, identifying and introducing potential strategic and financial buyers, and helping owners achieve their broader financial and personal objectives.

Our experience includes majority and minority platform transactions, numerous tuck-in acquisitions, division sales and several successful exits.

Pre-Transaction Advisory

We often engage well before a formal financing or M&A process begins. We help prepare and position the company for a debt financing or M&A transaction, organize the story and supporting information, anticipate questions from lenders, buyers and other transaction parties, and identify issues that can be addressed in advance to improve outcomes.

Glen Stein brings experience across debt financing and M&A, including transactions completed as an investment banker, CFO, lender, borrower, founder, investor, lawyer, board member and strategic advisor.

Industry expertise includes financial services, physician practice management, technology, commercial real estate, non-bank lending and structured finance.

Debt

Direct Lending

Arranged multiple direct-lender term loans and delayed-draw financing facilities to fund acquisitions. Maintains strong relationships with private credit and direct lending funds and helps borrowers identify appropriate lenders, evaluate structures and negotiate terms.

Prudential Securities

Completed approximately 75 institutional asset-backed debt transactions and raised more than $10 billion for finance companies. Experience included warehouse facilities, public and private asset-backed bond issuances, the Northwest Airlines ticket and trade receivables securitization recognized by Global Finance as Global Financing of the Month, the first securitization of SBA 7(a) loan unguaranteed portions, and multiple small balance equipment lease securitizations.

UniCapital Corporation

Led the structuring, negotiation and execution of several financing programs for equipment leases, including securitizations and warehouse facilities totaling over $1 billion.

First Capital

Served as operational CFO and member of the investment committee of a middle-market asset-based lender. Helped lead the company through the Great Recession, supported an approximately $1 billion lending balance sheet, raised institutional and securitized debt, and issued high-yield debt rated by S&P and Moody’s.

Derm Holdings

Served as CFO and board member, raised the company’s first institutional debt facility, supported more than 30 acquisitions and closed a subsequent institutional recapitalization.

Pensam Funding

Led the private commercial real estate lending business and completed its first securitization transaction.

Duvera Financial (EasyPay Finance)

Founded the consumer finance company in 2001, built the business over more than 20 years, and closed a securitized debt facility to fund its growth.

Derm Holdings

Helped complete more than 30 tuck-in acquisitions while serving as CFO and board member, contributing to significant growth in revenue and profitability and culminating in an institutional recapitalization.

EasyPay Finance / Duvera Financial

Founded the consumer finance company in 2001, built the business over more than 20 years as Co-Chairman, and exited to Intervest Capital Partners.

First Capital

Introduced H.I.G. Capital as majority equity investor, served as CFO to grow and strengthen the business, and managed the company’s exit to Ares Capital, Sterling National Bank and Seacoast National Bank.

eNeighborhoods

As CFO, led the sale of this real estate technology company to Dominion Enterprises at 27x EBITDA.

About Glen Stein

Glen Stein is an investment banker and strategic advisor who helps middle-market companies, owners and investors evaluate, structure and execute debt financings and M&A transactions.

Glen brings a distinctive perspective to complex transactions, having worked operationally on virtually every side of the table, as a founder, investor, CFO, board member, transactional lawyer, investment banker, lender, borrower, buyer and seller. That breadth of experience helps him understand the objectives and concerns of each party, anticipate issues and identify practical solutions that reduce friction and facilitate execution.

Glen began his career on Wall Street as a transactional attorney at Pillsbury Winthrop and later joined Prudential Securities, where he completed approximately 75 institutional asset-backed debt transactions and raised more than $10 billion for finance companies. His financing experience spans asset-based lending, securitizations and structured finance, acquisition financing, commercial real estate finance, senior and subordinate debt, preferred equity, and consumer and commercial lending.

For more than 25 years, Glen also served as an investor and senior executive of growth companies. As CFO and board member of Derm Holdings, he raised the company’s first institutional debt and equity and helped complete more than 30 acquisitions. As CFO of First Capital, the country’s largest non-bank asset-based lender, he brought in a majority equity partner, raised institutional debt and helped lead the company through its eventual sale. Glen also founded EasyPay Finance and served as Co-Chairman through its sale to Intervest Capital Partners.

Glen’s commercial real estate experience includes managing a rated commercial mortgage servicer and special servicer, leading a private lender focused on multifamily and mixed-use properties, originating small-balance commercial loans, and serving on investment or conflicts committees for several real estate investment funds. As CFO of real estate technology company eNeighborhoods, he led its sale to Dominion Enterprises at 27x EBITDA.

Today, Glen advises owners and management teams on debt financing and strategic transactions. He helps clients assess strategic alternatives, determine the appropriate capital structure, position opportunities for lenders and buyers, identify the right counterparties, and negotiate transaction terms.

Glen places a premium on integrity, sound judgment and earning the trust of his clients. He is comfortable with complex and challenging situations and remains focused on practical solutions and the client’s long-term interests.

Glen graduated magna cum laude from Amherst College and earned his JD from Columbia Law School. He is a member of YPO and a past Chair of its Palm Beach Chapter. He serves as Vice Chair of Florida Atlantic University’s Kelly/Strul Emerging Scholars Program and previously served as Chair of FAU’s Center for Autism and Related Disabilities.

Glen previously held Series 7 and Series 63 securities registrations and was admitted to practice law in New York and Connecticut. These registrations and bar admissions are no longer active.
